IMPORTANT - READ CAREFULLY: This is a legal License Agreement ("License") between an individual or a legal entity exercising rights under, and complying with all of the terms of, this License or a future version of this License ("You" or "Your"), and ILFIRON, Ltd., Jozefská 2980/4, Piešťany, Slovak Republic, company ID: 36271161, EU Tax ID: SK2021996999, listed in Business Registry of Regional Law-Court in Trnava, Slovak Republic, Division: Sro, Insertion No.: 17044/T, and its contributors ("ILFIRON"). Please read the following terms and conditions before downloading, installing and using ILFIRON FlexiDoc Server (the "Software", "Program" or "Product") You are agreeing to be bound by the terms of this License. 1. GRANT OF THE LICENSE In consideration of the payment made by You, based on the order of license registration key (“Purchase Order”), or based on evaluation license key request, ILFIRON grants to you, a non exclusive, non transferable right to install and use the Software on the terms of this License. For the avoidance of doubt, you are responsible for the installation of the Software and installation must be performed in accordance with the terms of the documentation accompanying the Software. The End User's rights and obligations in respect to the use of the Software are as follows: 1.1 Evaluation License is issued to you for your personal, non-commercial use only. You may use the Software only for a limited period of time that is associated with your registration key. If the trial period is over, you have to buy either Developer Community, Private or Commercial License Registration Key if you want to continue to use the Software. If you do not want to use the Software after trial period you are required to uninstall the Software. 1.2 Private License is for non-profit use only. If you work in any organization that does not engage in commercial activities (e.g. educational institution, a charity or humanitarian organization) or you intend to use the Software for personal (but non-profit) purposes, you should choose this license type. You may install and use the number of copies of the Software based on the number of purchased licenses (Quantity), as listed on the Purchase Order, provided always that only one copy of the Software is used on a single computer subject to both the following conditions being satisfied: a) Your interaction is required to operate the Software, b) there is a one-to-one (1:1) relationship between you and the Software, c) the Software is not accessible via wide area network. 1.3 Commercial License is for commercial, profit-oriented use. If you work in a commercial organization (e.g. software house, consulting company, bank, telecommunication company, a government or a military entity) or you intend to use the Software to develop and sell products or to offer paid services, you should choose this license type. You may install one copy of the Software on a single file server for use on a local or wide area network, provided that you may not exceed the total number of licensed copies, per server, according to the number of purchased licenses (Quantity), as listed on the Purchase Order. For the avoidance of doubt, Software with Commercial License may only be accessed by unlimited number of users in the same company (or group of companies) as listed on the Purchase Order. 1.4 Notwithstanding anything to the contrary, if you are using Windows Terminal Services, or Citrix Metaframe XP or Presentation Server (“Citrix”) you must purchase a Commercial License of the Software regardless the number of users who are capable of accessing and using the Software on a non-concurrent basis using Citrix session. 1.5 You may install an additional copy of the Software on a home or portable computer, provided that you are the primary user of the computer on which the Software was first installed. However, the Software on the secondary computer may not be used by another person at the same time the Software on the primary computer is being used. 1.6 You may make one copy of the Software for archival purposes, provided the archive copy is not installed or used on any computer. Without limitation, you may NOT (and shall procure that any third party shall NOT): a) copy or make derivative works from the Software, except as set out above. Any copies that you are permitted to make pursuant to this License must contain the same copyright and other proprietary notices that appear on or in the Software, b) sub-license, assign, rent, lease, lend, export or re-export or otherwise market or distribute the Software, or any portion thereof, c) modify, change, alter, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software, except that in the European Union, you may reverse engineer only for interoperability purposes and then only if all conditions of Article 6 of Council Directive 91/250/EEC are met, d) make the Software accessible from the Internet, or other public network, or over a privately operated computer network outside of the company listed on the License Key Purchase Order, e) redistribute the Software or any of its parts. ILFIRON reserves the right to periodically update or upgrade the Software or any of its parts. Your installation of the Software indicates your acceptance of potential future updates or upgrades to the Software. You will be notified of such update and ILFIRON will request your permission prior to making such change or update. 2. COPYRIGHT The Program is protected by copyright and other intellectual property laws and international treaties. Unauthorized reproduction or distribution of the Program, or any portions of it, may result in severe civil and criminal penalties, and will be prosecuted to the maximum extent possible under the law. 3. DISCLAIMER OF WARRANTIES AND TECHNICAL SUPPORT TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ILFIRON, LTD. AND ITS SUPPLIERS PROVIDE THE SOFTWARE, ALL ITS SUBCOMPONENTS (THIRD PARTY SOFTWARE) AND SUPPORT SERVICES (IF ANY) "AS IS" AND WITH ALL FAULTS, AND HEREBY DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) IMPLIED WARRANTIES, CONDITIONS OR DUTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OF RELIABILITY OR AVAILABILITY, OF ACCURACY OR COMPLETENESS OF RESPONSES, OF LACK OF VIRUSES, OF WORKMANLIKE EFFORT, OF LACK OF NEGLIGENCE, AND OF RESULTS ALL WITH REGARD TO THE SOFTWARE, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT, TECHNICAL SUPPORT OR OTHER SERVICES, SOFTWARE, INFORMATION, AND RELATED CONTENT THROUGH THE SOFTWARE OR OTHERWISE ARISING OUT OF THE USE OF THE SOFTWARE AND RELATED CONTENT (IF ANY).
